Locspect — operated by SJNC Inc.
Effective: October 14, 2026
These Terms govern access to and use of the Locspect platform, including the mobile application and the web application (the "Service"), provided by SJNC Inc. ("SJNC", "we", "us"). By creating an account, accessing the Service, or allowing personnel to use the Service, the subscribing organization ("Customer") and each user accept these Terms.
Locspect is a field operations platform. It allows a Customer to manage sites, work orders and schedules, to record job start and end events including geographic coordinates, and to document work through its web and mobile interfaces.
The Service is provided on a subscription basis. Pricing, billing frequency and included capacity are as agreed in writing with the Customer or as stated on an invoice.
The Customer is responsible for:
We may suspend an account or a user where we reasonably believe the Service is being used in breach of these Terms or in a way that threatens the security or integrity of the platform.
The Customer owns the data it and its users enter into the Service ("Customer Data"). The Customer grants SJNC a limited licence to host, process and transmit Customer Data solely to provide and support the Service.
SJNC does not sell Customer Data and does not use it to train third-party models.
Customer Data is hosted in Canada, in Google Cloud's Montréal region.
Personal information is handled as described in the Privacy Policy at https://locspect.com/privacy_policy.html, which forms part of these Terms.
We aim to keep the Service available and to resolve problems promptly, but the Service is provided without a guaranteed uptime commitment unless a written service level agreement says otherwise.
Maintenance, third-party provider outages, and factors outside our reasonable control may interrupt availability.
The Customer and its users will not:
The Service, including its software, interfaces and documentation, is and remains the property of SJNC Inc. These Terms grant the Customer a non-exclusive, non-transferable right to use the Service during the subscription term. No other rights are granted.
Feedback and suggestions may be used by SJNC without restriction or obligation.
Subscription fees are invoiced as agreed. Fees are exclusive of applicable taxes.
Invoices unpaid beyond their due date may result in suspension of the Service after written notice.
These Terms apply for as long as the Customer uses the Service.
Either party may terminate the subscription on 30 days' written notice. Either party may terminate immediately for material breach that is not cured within 15 days of written notice.
On termination, the Customer may request an export of Customer Data within 30 days. After that period, Customer Data may be deleted in the ordinary course.
The Service is provided "as is". To the fullest extent permitted by law, SJNC disclaims all implied warranties, including merchantability, fitness for a particular purpose and uninterrupted operation.
SJNC does not warrant that location data, timestamps or records generated by the Service are accurate for every event, and such records are not a substitute for the Customer's own supervision, payroll or compliance obligations.
To the fullest extent permitted by applicable law:
(a) Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of revenue, loss of business or loss of data, even if advised of the possibility of such damages.
(b) SJNC's total aggregate liability arising out of or relating to the Service, whether in contract, tort or otherwise, will not exceed the total subscription fees paid by the Customer to SJNC in the twelve (12) months immediately preceding the event giving rise to the claim.
(c) Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any liability that cannot be limited under applicable law.
The Customer will defend and indemnify SJNC against third-party claims arising from the Customer's use of the Service in breach of these Terms or applicable law, including claims by the Customer's own personnel relating to the collection of location data where the Customer has not obtained the consents required of it.
Each party will protect the other's confidential information with at least the care it applies to its own, and will use it only to perform under these Terms. This obligation survives termination.
We may update these Terms. Material changes will be communicated to the Customer's account contact at least 30 days before they take effect. Continued use after that date constitutes acceptance.
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Québec, judicial district of Montréal.
The French version of these Terms is remitted to the Customer and is available at https://locspect.com/conditions.html.
In the event of a discrepancy between the two versions, the French version prevails, unless the parties have expressly agreed to be bound by the English version after the French version was remitted to them.
